Mombasa County is seeking an experienced legal professional to serve as their Secretary. This senior-level position offers a five-year contract term with the possibility of reappointment based on performance.

About the Role:

The successful candidate will serve as a key member of the executive team, providing strategic legal guidance and ensuring robust corporate governance. This position combines legal expertise with corporate secretary responsibilities, offering a dynamic and challenging environment for the right professional.

Key Responsibilities:

Legal Leadership

  • – Design and implement comprehensive legal strategies
  • – Provide expert legal opinions to the CEO and Board
  • – Serve as Secretary to the Board
  • – Ensure organizational compliance with all applicable laws
  • – Lead legislative drafting initiatives
  • – Develop and validate corporate and staff contracts

Corporate Governance

  • – Maintain custody of corporate documents
  • – Implement and oversee good corporate governance practices
  • – Coordinate with the CEO and Chairman on Board succession planning
  • – Establish risk management frameworks for governance issues
  • – Lead strategic review processes with directorate heads

Strategic Management

  • – Participate actively in corporate strategy development and execution
  • – Conduct periodic strategy reviews considering external and internal factors
  • – Guide management on best practices and planning alignment
  • – Ensure implementation of audit recommendations
  • – Lead policy and procedure implementation

Legal Operations

  • – Manage litigation processes
  • – Coordinate with external lawyers
  • – Represent the corporation in legal proceedings
  • – Monitor and assess legal risks

Requirements:

Educational Qualifications

  • – Bachelor’s degree in Law from a recognized university
  • – Master’s degree in a related field (advantageous)
  • – Certified Secretary CS (K) certification
  • – Must be an Advocate of the High Court of Kenya
  • – Active membership with the Law Society of Kenya

Experience and Citizenship

  • – Minimum 5 years of senior management experience
  • – Kenyan citizenship
  • – Compliance with Chapter Six of the Constitution
