Job Description: Senior Governance Role
This Company Secretary position in Eldoret is far more than an administrative post; it is a strategic linchpin. The role involves providing comprehensive corporate governance and legal advisory services to the Board and Management. As the custodian of compliance, the job holder will ensure adherence to the Mwongozo Code of Governance, the Companies Act, and other regulatory statutes, making this one of the most critical legal and compliance jobs in Uasin Gishu County. Key Responsibilities and Duties
Board Facilitation and Strategic Advisory
- Provide expert company secretarial services, including preparing agendas, minutes, and resolutions for all Board, Committee, and Annual General Meetings.
- Offer proactive legal advice and governance guidance to the Board on their duties, ethical standards, and emerging best practices in line with the State Corporations Act.
- Serve as the primary liaison between the Board, management, and shareholders, a core function of senior corporate secretary roles.
- Coordinate and follow up on the implementation of all Board and shareholder resolutions.
Compliance and Legal Oversight
- Ensure full organizational compliance with Kenyan corporate law, managing all statutory filings and maintaining the company’s register.
- Draft and review legal documents and provide legal opinion on operational matters to mitigate risk for the utility.
- Represent the company’s interests in legal matters, a key responsibility for legal jobs in public utilities.
- Prepare and review Board charters and governance policies to uphold the highest standards.
Required Qualifications and Experience

- A Bachelor of Laws (LL.B) degree from a recognized institution and a Post Graduate Diploma from the Kenya School of Law.
