Safaricom Plc is seeking a highly skilled and trusted Governance Specialist to support the Company Secretary in driving world-class corporate governance across the organization. The role holder will be the central source of governance expertise, ensuring legal compliance, strengthening Board processes, and safeguarding Safaricom’s commitment to transparency, accountability, and ethical leadership.

The Governance Specialist will oversee statutory filings, prepare Board and Committee documentation, manage governance records, and ensure adherence to regulatory requirements. This role is ideal for a governance professional with deep knowledge of the Companies Act, NSE Listing Requirements, and best-practice standards within a complex corporate environment.

Key Responsibilities

Corporate Governance, Compliance and Secretariat Support

  • Execute all statutory and secretarial functions required under the Companies Act, NSE Listing Rules and other relevant regulations.
  • Prepare for Board, Subsidiary Board and Committee meetings by drafting agendas, compiling briefing packs and distributing documentation within required timelines.
  • Draft and maintain accurate Board resolutions, minutes, proxy forms, certified extracts, capital votes and related governance records.
  • Ensure all corporate documents required under Kenyan legislation are updated, securely stored and compliant with legal and regulatory expectations.
  • Support the compilation of Safaricom’s Integrated Report, ensuring correct governance disclosures and timely submission of all statutory deliverables.
  • Prepare and finalize documentation for Annual General Meetings, including resolutions, notices and regulatory filings.
  • Prepare Board resolutions for half-year and full-year results announcements.
  • Maintain up-to-date registers of directors, shareholders, minutes, statutory forms and corporate records in both digital and physical formats.
  • Support director appointments, resignations, share issuances, share certificate processing, changes in registered office, year-end adjustments and other corporate administration duties.
  • Prepare, lodge and track statutory returns and filings with Business Registration Services, Companies Registry and relevant tribunals.
  • Serve as the liaison with registries and regulators to ensure smooth processing of company documents and corporate actions.
  • Coordinate Board and Subsidiary Board calendars to ensure efficient governance scheduling.

Exceptional Organizational Skills

The Governance Specialist must be highly organized, proactive and capable of managing multiple governance processes simultaneously while ensuring precision and confidentiality.

Governance and Regulatory Expertise

Deep expertise in corporate governance, NSE Listing Requirements, Kenyan company law and global best practices, with the ability to apply this knowledge practically in a corporate setting.

Integrity

Given the high sensitivity of Board information, exceptional integrity, discretion and ethical judgment are essential.

A strong dedication to accuracy, professionalism and continuous improvement in all governance responsibilities.

Qualifications and Experience

  • Minimum of 7 years’ experience (post-CPS qualification) in a corporate secretarial or governance-focused environment.
  • Bachelor’s degree in Business Management, Commerce, Business Administration, Science or a related field.
  • Certified Public Secretary CPS (K) with a valid practicing certificate from ICPSK.
  • Accredited Governance Auditor (ICPSK) is an added advantage.
  • Experience supporting Boards and Committees in diverse organizations.
  • Strong experience in planning and executing Board, Committee and general meetings, including minute writing and preparation of governance documentation.
  • Thorough knowledge of the Companies Act, NSE Listing Requirements and Codes of Corporate Governance.
  • Experience reviewing and advising on Articles of Association and handling corporate actions such as share transfers, capital increases, mergers, acquisitions and restructuring.
  • Experience drafting Board Charters, Committee Terms of Reference, governance policies and annual work plans, as well as supporting governance audits and Board evaluations.
  • Experience working with a public listed entity is an added advantage.
  • Excellent communication, interpersonal and writing skills with the ability to engage senior stakeholders.
