Job Description
The Governance and Regulatory Manager will support the Company Secretary and play a key role in ensuring adherence to all governance frameworks, statutory filings, and regulatory compliance for the Group. The role requires coordination of board and committee meetings, monitoring legal and regulatory updates, and maintaining accurate corporate records. The ideal candidate will be a seasoned legal professional with solid experience in regulatory reporting jobs in Kenya and an in-depth understanding of company law and financial services regulations.
Key Responsibilities
- Monitor changes in legislation and the regulatory environment and brief Management on compliance requirements.
- Support in the planning and administration of board meetings, board committees, and annual general meetings (AGMs).
- Draft agendas and schedules for board and AGM activities.
- Ensure accurate and up-to-date records of meeting minutes and statutory registers (e.g., directors, secretaries).
- Manage timely preparation, review, and dissemination of board packs and governance documents.
- File all statutory returns and declarations in compliance with relevant company law requirements.
- Ensure timely submission of regulatory letters and reports to oversight bodies such as the Central Bank of Kenya (CBK).
- Collaborate with internal stakeholders to maintain governance frameworks, policies, and procedures.
- Assist the Company Secretary in advising the Board on governance, legal, accounting, and taxation issues.
- Coordinate training programs for new and existing board members on corporate governance and their fiduciary duties.
Required Qualifications
- Bachelor’s degree in Law (LLB) from a recognized university.
- Advocate of the High Court of Kenya.
- Certified Public Secretary (CPS-K) or equivalent professional qualification.
- Minimum of 7 years’ experience in corporate legal practice, with a strong focus on company secretarial work and governance.
Preferred Qualifications
- Experience working within a financial institution or highly regulated industry.
- In-depth knowledge of Kenyan company law, regulatory frameworks (CBK, CMA, RBA, etc.), and governance best practices.
- Exposure to cross-border compliance issues and regional regulations is an added advantage.
